We are looking for a driven, sharp, hands-on Company Secretary who wants to build a serious career in funded Startups space requiring rigorous PE/VC level due diligence and compliance hygiene. This is not a comfortable “file-and-forget” desk job.
You will join us as the dedicated, in-house secretarial backbone for our existing team. As you prove your mettle and learn our ecosystem, you will gradually be brought directly into the fold, stepping into the trenches with founders, investors, corporate lawyers and CFOs to navigate fundraises, secondaries, and ESOP rollouts.

What You Will Own?
1. End-to-End Secretarial Compliance:
Strong command over the Companies Act, 2013: You will execute traditional, day-to-day CS compliances alongside associates, ensuring streamlined management of board and shareholder meetings, statutory registers, minutes, and MCA filings (MGT-7, AOC-4, PAS-3, MGT-14, DIR-12).
2. Transaction Team Anchor: Acting as the primary compliance engine for our deals, ensuring that the financial and strategic sides of a transaction have a solid secretarial foundation.
3. Dematerialization of Shares: Driving the demat process for unlisted companies end-to-end. You will seamlessly navigate the operational friction with RTAs, NSDL, and CDSL, handling the roadblocks and follow-ups that usually stress out regular folks.
4. FEMA Execution: Handling cross-border investments efficiently — FC-GPR, FC-TRS, ODI/FDI filings, downstream investments, FLA returns, and APR. (Happy to take a learning curve if transaction experience here is low/nil)
5. AIFs Regulatory Navigation: Reading, interpreting, and applying Master circulars with confidence (we all Google, but not at the Nth hour).
6. Fundraise Support: Managing the compliance lifecycle from term sheet to closing. This includes translating SHA/SSA terms into secretarial action items, tracking CPs/CSs, securing approvals, and managing allotments.
7. Secondary Transactions: Driving share transfers, FC-TRS,, stamp duty, and the filing trail.
8. Inter-Corporate Deposits (ICDs): Section 186 compliance, executing board/special resolutions, maintaining MBP-2 registers etc.
9. ESOP Operations: Post scheme finalization works, grants, vesting, exercises, allotments, related filings.
You Are a Strong Fit If You Have:
1. 5+ years of solid post-qualification CS experience, explicitly within startups and/or VC/PE-backed companies.
2. Handled at least one priced round from the company side.
3. A strong working knowledge of AIFs Master circulars.
4. Hands-on exposure to fundraises, secondaries, ICDs, and ESOPs >> you don’t need to know everything perfectly, but you need to have been in the room and done the work.
5. Crisp English drafting skills for pure secretarial documents (resolutions, minutes, notices).
6. Assertive communication skills — you are confident, can hold your ground on compliance issues, and are ready to gradually take the frontline with aggressive investor teams and founders.
7. High ownership and a proactive appetite for taking control of the compliance vertical.
You Are NOT a Fit If:
1. Your experience is primarily in the listed-company space>> this role is strictly unlisted/private, and listed-space candidates will not be considered.
2. You are looking for a remote or hybrid setup. We are in the office, building in person.

Qualified Company Secretary (Member of ICSI).
Location: New Delhi (In-Office)
Working Days: Monday to Saturday (6 Days a week)
