Your Role and Responsibilities

The Acquisitions, Divestitures, and Goodwill Accounting Lead is responsible for facilitating the accounting surrounding businesses acquired or divested by the Company to ensure proper recording in the Company’s financial statements in accordance with accounting policies under US GAAP. For acquisitions, the A&D Lead coordinates the integration of the acquired Company’s financial results into the Company’s financial systems and consolidated results. For divestitures, the A&D Lead coordinates the process to identify and carve out the related business/line of business being divested by the Company. For both, the Lead defines the strategy for related project work in support of the Acquisition/Divestiture Executive to ensure that all facets of accounting are handled appropriately. As the primary CHQ Accounting contact for an acquisition or a divestiture, the Lead has the opportunity to work with many different organizations including the acquired/acquiring Company’s staff, various functional Accounting teams (e.g., External Reporting and Accounting Policy, Services Technical Accounting and Reporting & Analysis, Fixed Assets) as well different functions within the Company (e.g., Corporate/Business Development, Finance, Real Estate, Tax, Treasury, Legal, HR, Business Controls), fostering teamwork and inclusion across organizations.

Specific responsibilities include:

• Assisting with the due diligence review and work plan for the accounting function for both acquisitions and divestitures, ensuring alignment with the Company’s accounting policies/US GAAP (ASC 805, Business Combinations, ASC 350, Intangibles – Goodwill & Other, ASC 360, Long-lived Assets) and procedures. This includes raising key issues that could affect the deal and develop action plans to mitigate any exposure.
• Establishing accounting milestones, assumptions, key decisions, and risks for communication to Company executives.
• Leading periodic Accounting & Finance Cadence calls.
• Acting as a direct interface and consultant to other functional Accounting leads and executives for inquiries related to the accounting acquisition integration/divestiture as well as project manage appropriate accounting owners to resolve issues that surface during the integration/divestiture.
• Facilitate the Purchase Price Accounting (PPA) process for business acquisitions by providing consistent financial accounting, analysis, reconciliation, and information sharing across functions and geographies including the acquired company representatives.
• Interact with functional acquisitions and divestiture teams during all phases of the Acquisition/Divestiture Lifecycle to provide advice and counsel on accounting issues.
• Participate in Due Diligence Phases as determined by Corporate Development.
• Participate in post close accounting / finance integration meeting(s).
• Build understanding of acquired company legacy balance sheet and accounting policies.
• Perform (and ultimately record) the final PPA entries, including the internal or coordination of external valuation of acquired intangible assets PPA.

The candidate should be a CPA and have a minimum of 7+ years of progressive accounting experiences. Must be a self-starter with the ability to work independently and support senior executives on reporting and technical accounting matters in a timely fashion.

Required Technical and Professional Expertise

• Bachelor’s or Master’s Degree in Accounting or Finance
• Certified Public Accountant (CPA) or Certified Management Accountant (CMA)
• Minimum 5 years of public accounting experience including leadership roles or 7 years of non-public accounting experience (SEC registrant company)
• Effective written and oral communication
• Possess or strong interest to apply US GAAP accounting rules in a complex, SEC regulated, technology company
• Demonstrate working knowledge of computer skills including the Office suite of products
• Demonstrate professional written and oral communication skills
• Fluent in English

Preferred Technical and Professional Experience

• Prefer experience at one of the Big Four accounting firms
