WHAT’S THE JOB?

Working remotely if you wish, as a Corporate Law Clerk you will report to the Executive Vice President, Legal and General Counsel, and provide support as it relates to administration of the Corporate Governance of the organization, including corporate governance, corporate/commercial, public company filings, intellectual property, privacy and other regulatory matters. You will also provide ongoing support on company initiatives and strategic projects, including compliance programs and contract management. Your work will include:

• Work with the EVP, Legal, General Counsel and Corporate Secretary and other advisors to prepare appropriate documentation to ensure a complete and accurate set of corporate records.
• Maintain minute books, annual filings, corporate and other extra provincial registrations
• Performs and/or supports drafting/document reviewing, including contracts, administration of the incentive plan program, policies and reports.
• Maintains and/or supports corporate database for corporate and legal documents(including contract management system/stock options program)/information related to all legal entities, including intellectual property.
• Contributes as a member of the Legal team to provide practical solutions to our business teams.
• At the direction of the EVP, Legal, General Counsel and Corporate Secretary prepares standard agreements and responses. Uses standard form contracts to prepare and negotiate contracts with suppliers, vendors and service providers.
• Engages in telephone and e-mail communication with clients and third parties for the collection of information and provision of status updates.
• Research and analyze legal resources such as statutes, judicial decisions, and legal articles in order to prepare legal documents.
• Identify legal issues and escalate and/or resolve them as appropriate.
• Create standardized legal templates and ensure usability and implementation by the business.
• Assist in public company filings, including TSX, SEDAR, SEDI, and press releases.
• Stay current on legislative changes and revise precedents and technical procedures checklists to ensure compliance with new legislation and changes to internal processes.
• Provide senior level administrative support to business teams, including but not limited to: handling information requests, and preparing various types of correspondence and reports, and performing other administrative duties as required.

WHO ARE WE LOOKING FOR?

• Minimum 5 years’ experience as a “Corporate” Law Clerk either in an in-house or in a law firm
• Law Clerk Diploma from an accredited college is strongly preferred.
• Member of the Institute of Law Clerks of Ontario.
• Ability to be discrete when handling confidential information.
• Able to attend in-person meetings in our Mississauga office 3-4 times per quarter
