• Maintain corporate records for UK and overseas subsidiaries and deal with all statutory filing requirements. This involves preparing minutes of meetings, interpreting and acting on the decisions made in the meetings, updating records and filing the necessary forms with the regulatory authorities in the times allowed to avoid fines.
• Assist with the preparation and release, via RNS, of regulatory announcements required by the FCA. This involves interpreting the FCA Listing Rule and DTR requirements, collating the necessary information in the very limited time allowed, drafting the announcements accurately and sending the announcements for simultaneous release in the UK and South Africa, Switzerland, Namibia and Botswana.
• Produce and maintain the Group Structure Chart.
• Provide meeting management, including minuting meetings, acting as counsel to directors in the meetings and ensuring actions agreed are followed up.
• Maintain the register of directors / PDMRs share interests and assisting in the disclosure of those interests via RNS and in the Group’s annual report. This involves liaising with the share registrars in the UK and South Africa and share plans providers, collating the information and correctly and completely accurately recording it, interpreting the DTR requirements, making an initial assessment as to whether the information is announceable, drafting the disclosure of the announcement having considered legal and regulatory requirements.
• Assist with the drafting, review, approval and filing of statutory annual accounts for UK domiciled subsidiaries. This involves a knowledge of and interpretation of the relevant legal and accounting requirements, liaising with colleagues in Finance, Tax and other Finance function departments and the external auditors.
• Assist with the governance arrangements relating to the Group’s banking / treasury operations – specifically, delegated authorities and bank mandates and maintain the register of guarantees. This involves reading, drafting and interpreting the authorities and mandates to ensure compliance, liaising with banks on KYC provisions and with Group Treasury.
• Provide feedback on process and progress and contribute to the implementation of initiatives to improve standards and procedures within the Department.
• Provide general assistance in responding to ad hoc requests from operational Business Units and global Cosec teams of a governance nature. These can involve liaising with the share registrars with regards to individual shareholder queries, liaising with Legal, Tax, Treasury and Finance on corporate transactions, inter-departmental step plans and reconstructions and queries from Board members.
• Support the Manager Company Secretary with the AGM and preparation of the Group Annual Report.

Graduate (preferred)

To have commenced or completed the ACIS ICSA Governance Institute qualification (preferred), for which study support will be available.
